UAE Annual Report & ESG Disclosure Requirements: What Applies to Your Company in 2026
An annual report, exchange ESG filing, corporate-tax record and emissions submission are different documents. Start with the entity, regulator and reader before designing one.
Four questions determine the reporting route
- What is the company’s registered legal form and jurisdiction: mainland, a named free zone, DIFC or ADGM?
- Is it listed, and if so on which market and board?
- What financial reporting, audit, tax and climate instructions have the company actually received from its authorities and advisers?
- Is the document a regulatory filing, an investor communication, a bank or buyer request, or a voluntary public report?
Do not collapse these into a single “UAE ESG report.” The applicable disclosure and deadline may change by entity, market and reporting year. Labeeb helps write and design approved content; it does not determine legal applicability, audit financial statements, assure emissions or file with a regulator.
Listed-company reporting is a separate workstream
For Abu Dhabi Securities Exchange issuers, the ADX Investor Relations Guide states annual audited financials are due within 90 days of year-end, alongside the annual report, governance report and sustainability/ESG report for Main Market companies. The guide distinguishes requirements for Main and Growth Market companies; an ADX statement should not be copied automatically to a DFM or unlisted company. ADX also publishes ESG disclosure guidance.
The UAE Capital Market Authority’s annual assembly service states conditions for local public joint-stock companies, including disclosure of financial statements and an integrated report on company and listed-market sites. The issuer should confirm its current circular, market calendar and filing format with its company secretary, auditor and market. Labeeb can turn approved source material into a clear report and presentation, but the responsible officers approve the facts and filing.
Unlisted does not mean one standard public ESG report
A mainland private company, free-zone entity and family business may each have financial-statement, audit and tax-record duties, but those do not automatically create a public annual ESG-report obligation. The legal entity and its applicable company, free-zone and tax rules matter. A bank, government buyer or multinational customer may request a sustainability statement contractually even where a public ESG report is not mandated. Obtain the exact request and its evidence standard before drafting.
Separate the underlying records from the communication. An audited financial statement is produced and signed under accounting and audit rules. A management narrative can explain approved results, strategy, risk and operations. A marketing brochure does not become an audited annual report through design or a cover page.
The federal emissions law is not a universal dated filing instruction
Federal Decree-Law No. 11 of 2024 establishes a national framework for climate-change effects. Article 6 says sources determined by the Ministry and competent authority, in coordination with the entity concerned, must measure emissions, prepare inventories, submit periodic reports and retain records under specified standards. The law recognises competent local authorities, including free zones. It does not by itself supply one annual deadline and template that every UAE company can apply without further designation or instructions.
If climate reporting may affect your organisation, identify the responsible authority, whether your activity or facility has been designated, the accepted methodology, reporting period and submission channel. Get specialist environmental and legal advice for applicability. Avoid publishing an emissions number that has not been measured and reviewed. A voluntary sustainability narrative should be labelled as such rather than described as a regulatory filing.
How to build a report that can be checked
- Set the document type and owner. List each required financial, governance, ESG, climate or buyer section and who signs it off.
- Lock the reporting boundary. State which entities, locations, period and measures are included. A group sustainability chart and a single-company financial statement must not silently use different boundaries.
- Collect traceable source files. Use approved financial statements, board material, HR and operational records, emissions workbooks and definitions. Mark estimates, restatements and missing data.
- Draft the narrative from evidence. Explain material performance and setbacks. Keep forecasts distinct from historical results and label each metric’s unit and comparison period.
- Run factual and design QA. Check every chart and table against its source, Arabic and English wording if both are commissioned, document accessibility, approval names, file version and any market-required publication format.
A practical briefing pack for a writing and design partner is the current regulator or buyer checklist, approved figures, last year’s report, brand assets, audience, languages, deadline and sign-off map. These inputs matter more than choosing a fixed page count at the outset.
